Summary: The role of Senior Legal Counsel focuses on managing complex legal work streams related to corporate reorganisation for a global FTSE 15 FMCG company. The position requires a mid-level corporate lawyer with 4-8 years of PQE to handle legal separations, including business and asset transfers, demergers, and share reorganisations across multiple jurisdictions. The ideal candidate will work closely with external counsel and internal teams, ensuring compliance and effective execution of legal processes. An immediate start is preferred, with a hybrid working model based in Berkshire.
Key Responsibilities:
- Manage complex legal work streams related to corporate restructuring across multiple jurisdictions.
- Execute legal separation processes, including business and asset transfers, demergers, and share reorganisations.
- Collaborate with CoSec, Tax, and Finance teams to ensure compliance and effective execution.
- Handle documentation and guide local legal processes in assigned jurisdictions.
- Work closely with top-tier external counsel for support on legal matters.
Key Skills:
- UK-qualified (or equivalent) with 4-8 years' PQE.
- Proven experience with business transfers, intra-group restructures, demergers, and share reorganisations.
- Confidence in drafting or managing Powers of Attorney, shareholder resolutions, and dividend/distribution documentation.
- Experience in a large or complex multinational business.
- Able to start within 4 weeks or less, ideally immediately.
- Comfortable with a hybrid working model (up to 3 days in Berkshire).

A global FTSE 15 FMCG company is undergoing a major carve-out and corporate restructuring programme, and is looking for a mid-level corporate lawyer (4-8 PQE) to take ownership of complex legal work streams across multiple jurisdictions.
This isn't M&A - the deals are done by another team. This role is about executing the legal separation, including business and asset transfers, demergers, statutory mergers, and share reorganisations, supported by top-tier external counsel.
You'll be handed a few jurisdictions (eg Netherlands, France, Spain) and expected to manage them through to go-live - handling documentation, guiding local legal process, and collaborating closely with CoSec, Tax and Finance.
What you'll need to succeed:
- UK-qualified (or equivalent), 4-8 years' PQE (other PQE will be considered but this is a guide to the level of work that will be carried out on a daily basis)
- 100% Essential: Proven experience with business transfers, intra-group restructures, demergers, share reorganisations
- Confidence drafting or managing PoAs, shareholder resolutions, dividend/distribution documentation
- Background in a large or complex multinational business
- Able to start within 4 weeks or less (ideally immediately)
- Happy with a hybrid model (up to 3 days in Berkshire, Elizabeth Line accessible)
