Summary: This role combines the responsibilities of a Public Company Senior Paralegal and North America Co-Regional Governance Manager, focusing on corporate governance compliance and public reporting obligations for North America subsidiaries. The position requires oversight of governance for multiple entities, preparation of SEC filings, and collaboration with various internal and external stakeholders. The ideal candidate will have extensive experience in corporate governance and compliance, particularly in the US and Canada. This position is part of a global Secretariat team dedicated to best practices in corporate governance.

Key Responsibilities:

• Oversee governance for approximately 50 North America subsidiaries, ensuring compliance with local laws and internal guidelines.
• Support requests for entity-related documentation and coordinate with internal stakeholders on M&A transactions.
• Prepare resolutions for annual consents, dividends, and director appointments.
• Maintain current information for subsidiaries in Diligent Entities software and manage relationships with outside vendors for state filings.
• Prepare Section 16 filings and assist with Board document preparation and communication with directors and officers.
• Support onboarding of new directors or officers and maintain beneficial ownership tables for proxy statements.

Key Skills:

• Excellent technical skills in corporate secretarial compliance in the US and Canada.
• Solid understanding of corporate governance principles.
• Strong communication and interpersonal skills with a proactive approach.
• Ability to manage and influence stakeholders effectively.
• Paralegal certification/degree in the US with corporate governance experience.
• Minimum of 10 years experience in a law firm or multinational company.
• Experience with Section 16 filings and entity management software.
