Summary: The M&A Tax Specialist role is a part-time, remote position focused on reviewing and annotating AI-generated outputs related to transaction tax structuring and M&A tax analysis. Key Responsibilities:
- Review and annotate AI-generated outputs related to transaction tax structuring and M&A tax analysis
- Evaluate model reasoning on asset vs. stock acquisitions and tax-efficient deal structuring
- Validate application of key IRC provisions including reorganizations, elections, and allocation rules
- Assess tax due diligence findings such as NOL limitations, tax attribute carryforwards, and exposure risks
- Provide expert feedback on purchase price allocation and after-tax modeling assumptions
- Evaluate cross-border structuring logic, including withholding tax and international tax considerations
- Identify technical misinterpretations, compliance risks, or flawed structuring logic
- Collaborate with research teams to improve AI performance in transaction tax workflows
Key Skills:
- Strong experience in M&A tax or transaction tax advisory
- Strong technical knowledge of corporate tax provisions under the Internal Revenue Code
- Strong experience supporting tax due diligence and transaction structuring
- Strong familiarity with tax attribute analysis and post-transaction integration tax considerations
- Strong analytical writing skills and ability to provide structured technical feedback
- CPA, JD (Tax), or equivalent advanced tax expertise preferred
- Ability to work independently in a remote, project-based environment
