Summary: The M&A Tax Specialist role is a part-time, remote position focused on reviewing and annotating AI-generated outputs related to transaction tax structuring and M&A tax analysis. Key Responsibilities:

  • Review and annotate AI-generated outputs related to transaction tax structuring and M&A tax analysis
  • Evaluate model reasoning on asset vs. stock acquisitions and tax-efficient deal structuring
  • Validate application of key IRC provisions including reorganizations, elections, and allocation rules
  • Assess tax due diligence findings such as NOL limitations, tax attribute carryforwards, and exposure risks
  • Provide expert feedback on purchase price allocation and after-tax modeling assumptions
  • Evaluate cross-border structuring logic, including withholding tax and international tax considerations
  • Identify technical misinterpretations, compliance risks, or flawed structuring logic
  • Collaborate with research teams to improve AI performance in transaction tax workflows
