Summary: The General Counsel will provide expert legal advice on complex issues related to Climate Bonds, focusing on commercial and contract law while ensuring regulatory compliance. This role involves drafting, reviewing, and negotiating contracts, managing legal risks, and supporting operational activities across the organization. The position requires collaboration with various teams and external partners to protect Climate Bonds' legal and commercial interests. The role is fully remote, offering flexible working hours to accommodate the needs of the team.

Key Responsibilities:

  • Provide high quality, pragmatic legal advice across Climate Bonds, supporting all operational activities.
  • Minimise risk and contribute to the protection of Climate Bonds’ assets, including its intellectual property and reputational interests.
  • Responsible for a wide range of grants, sub-grants, contracts for services, sponsorship agreements and other agreements relating to relationships with international, domestic and EU partners and sponsors.
  • Lead on all commercial law and contract matters, providing additional advisory support to the wider functions of Climate Bonds worldwide.
  • Work with the COO in ensuring the effective governance of Climate Bonds and its functions, providing expert legal advice on regulatory compliance.
  • Oversee and manage the renewals of professional indemnity, directors and officers and combined liability insurance for Climate Bonds and its subsidiaries.
  • Handle a range of complex legal issues, including but not limited to; commercial, consumer, contract, employment, licensing, data protection, intellectual property, charity, public and information law.
  • Attend external meetings and provide guidance and support as required.
  • Provide legal advice and support to teams across Climate Bonds when submitting bids, responding to invitations to tender and requests for quotations.
  • Draft, negotiate, and review contracts for the provision of services, sponsorship, certification, technical assistance, training and research to third parties, ensuring that Climate Bonds’ interests are protected commercially and risk is minimised.
  • Outsource and manage external legal expertise when necessary.
  • Oversee and perform all relevant duties relating to regulatory compliance for Climate Bonds and its subsidiaries in Belgium and China.
  • Act as a communication and liaison point between the Board of Trustees and the Organisation.

Key Skills:

  • Qualified to practice as a barrister or solicitor in England and Wales.
  • Hold a current Practising Certificate issued by the General Council of the Bar or the Law Society.
  • Understanding of contract, commercial and procurement law.
  • Demonstrable experience in drafting and negotiating contracts; advising on intellectual property and commercial law in context and including in managing disputes.
  • Good general advisory skills.
  • Demonstrably sound legal judgement and appreciation of legal risk.
  • Ability to think strategically and creatively; see legal issues in their wider context and advise accordingly.
  • Sound analysis, utilising effective legal research, to produce timely, high-quality solutions-focused advice.
  • Excellent oral and written communication skills.
  • Good ability to analyse and evaluate data to identify risks and make well-considered, pragmatic decisions.
  • Identify the main issues in complex legal problems and work collaboratively with colleagues to deliver the best solutions.

Description

To provide expert legal advice and guidance on a range of complex issues across Climate Bonds, supporting all policy, procedural and operational objectives. To lead on commercial and contract law, drafting, reviewing and negotiating all contracts and agreements, ensuring Climate Bonds is protected legally and commercially. To ensure the effective governance and regulatory compliance of all activities across Climate Bonds and its subsidiaries, providing advisory support and guidance.

How you'll contribute

  • Minimising risk and contributing to the protection of Climate Bonds’ assets, including its intellectual property and reputational interests

  • Work with the COO in ensuring the effective governance of Climate Bonds and its functions, providing expert legal advice on regulatory compliance
  • Oversee and manage the renewals of professional indemnity, directors and officers and combined liability insurance for Climate Bonds and its subsdiaries.
