Summary: The Carve-out PMO Lead is responsible for overseeing the comprehensive programme management of a complex business carve-out from a parent organization. This role involves establishing and leading the Programme Management Office, ensuring governance, planning, and execution across all separation workstreams, while maintaining alignment with senior leadership and external advisers. The position requires a focus on achieving Day 1 readiness and post-close stabilization with minimal disruption to the business.
Key Responsibilities:
- Establish and run the carve-out PMO, including governance model, reporting cadence, and decision-making forums.
- Develop and maintain the integrated carve-out plan covering TSA delivery, Day 1 readiness, and post-separation milestones.
- Drive delivery and accountability across all functional workstreams including IT, Finance, HR, Operations, Legal, Tax, Supply Chain, and Commercial.
- Identify, manage, and mitigate cross-functional risks, issues, and dependencies.
- Produce clear executive-level reporting including progress updates, critical path tracking, and escalation management.
- Coordinate closely with transaction teams, Separation Management Offices, and external advisers.
- Ensure alignment between deal assumptions, separation scope, and operational execution.
- Support TSA definition, governance, performance management, and exit planning.
- Lead programme communications and change management to protect business continuity.
- Prepare leadership for Day 1 go-live, readiness sign-off, and post-close stabilisation activities.
Key Skills:
- Demonstrable experience leading PMO activities for carve-outs, separations, or divestitures (Ideally in a PE backed environment).
- Strong track record managing large, complex, cross-functional transformation programmes.
- Hands-on experience with TSAs, Day 1 readiness, and post-separation execution.
- Proven ability to operate effectively at executive level while driving delivery at pace.
- Experience working with external advisers including professional services firms, legal advisers, and investment banks.
