Key Responsibilities:
- Support lawyers throughout the lifecycle of fundraises, including investor onboarding, negotiations, and closings.
- Assist with the review of tax provisions in credit agreements and prepare checklists of post-closing tax filings and requirements.
- Manage the tax aspects of M&A transactions, track post-completion deliverables, and prepare transaction summaries.
- Perform document review and manage files related to tax dispute matters.
- Organize exhibits, evidence, briefs, and appendices for court submissions.
- Create document closing “bibles” after transactions, maintain closing set library, and upload to the internal document management system.
- Conduct general research using external subscription services.
- Maintain detailed diaries and monitor emails for paralegal requests.
- Coordinate work product between non-legal departments and attorneys.
- Prepare for and attend departmental meetings and training sessions.
- Update and maintain the Firm’s internal databases and perform data entry on LegalKey.
- Assist attorneys with general administration tasks and other ad hoc duties.
Key Skills:
- Bachelor’s degree in law; LPC qualification preferred.
- Knowledge of document management systems (e.g., Filesite or iManage).
- Proficient in Microsoft Word, Microsoft Excel, and Adobe PDF.
- Previous paralegal experience in a professional services environment.
- Excellent organizational skills and attention to detail.
- Strong communication skills for interaction with Partners, clients, and staff.
- Self-motivated team player with initiative.
- Flexibility to work overtime as needed.

Description/Job Summary
To provide support to the Tax team including investor onboarding, preparing checklists and filings and assistance with document reviews and general administration tasks.
Responsibilities/Duties
Tax Duties
- Support lawyers throughout the lifecycle of fundraises, including investor onboarding, negotiations and closings. This will include reviewing subscription agreements, preparing first draft response memoranda for investor tax queries, and maintaining response trackers to keep track of negotiations
- Assist with the review of tax provisions in credit agreements and prepare checklists of post-closing tax filings and requirements
- Assist lawyers in managing the tax aspects of M&A transactions, keep track of post-completion deliverables and prepare transaction summaries
- Perform document review and be responsible for file management in relation to tax dispute matters
- Organize exhibits, evidence, briefs and appendices for court submissions, and gather and analyze relevant information from clients, experts and external sources
General Paralegal Assistance
- Creating document closing “bibles” (CD and hardcopy) after a transaction has closed, maintaining and updating closing set library and uploading to the internal document management system.
- Conforming execution versions of documents.
- Dealing with originals during and after the transaction has closed to maintain an organised process.
- Internal document precedents on iManage/STBi (including closing set library)
- External document precedents from third party subscription services.
- General research using external subscription services (PLC, Westlaw, LexisNexis).
Legal Admin Services
- Maintaining detailed and up-to-date diaries
- Monitoring group and personal emails for ad hoc paralegal requests
- Coordinating work product between non-legal departments and attorneys
- Prioritizing work and managing time effectively to meet deadlines
- Liaising with attorneys and clients (where appropriate) on ad hoc assignments and on-going deals
- Preparing for and attending departmental meetings
- Attending departmental training sessions
- Assisting other Paralegal teams as and when appropriate
- Updating and maintaining the Firm’s internal databases
- Performing data entry input on LegalKey and preparing files for archiving
- General administration tasks and other ad hoc duties to assist attorneys
Required Skills
- Educated to at least a bachelor’s degree level in law and LPC qualification preferred.
- Knowledge of document management systems (such as Filesite or iManage)
- I.T. literate with a good knowledge of and competency in the use of Microsoft Word, Microsoft Excel and Adobe PDF
- Previous paralegal experience working in a professional services environment
- Excellent organisational skills and attention to detail essential
- Excellent communication skills with the ability to communicate with Partners, clients and staff at all levels
- Motivated self-starter who is a good team player and able to use their initiative
- Flexibility - overtime will be required from time to time at short notice, to meet the needs of the client.
