About the Role: You will provide legal advice on issues affecting The Chartered Institute of Management Accountants' (CIMA) and the Association of International Professional Accountants' (Association). You will play a trusted role in Commercial Contracts, Corporate Governance and Regulatory Compliance; Regional Office Activities and Compliance and Intellectual Property Rights (trademarks and copyright). You will report to the Assistant General Counsel as an individual contributor. You will use a hybrid work schedule.

You Will:

  • Provide legal advice to the Association, the international joint venture between American Institute of Certified Public Accountants (AICPA) and CIMA, including the following primary responsibilities:
  • Commercial Contracts: Lead and conduct legal reviews, including analysing terms of contracts, non-disclosure and other agreements, assessing suitability and providing redrafts. Draft contract templates, complex global contracts and other agreements. Work with our teams to negotiate and advise on multiple contracts, including with channel partners, tuition providers, content creators, customers and suppliers. Partner with departments to resolve contractual and other business-related disputes. Develop arrangements for and maintain accurate records of agreements, contracts, and renewals.
  • Corporate Governance: Undertake corporate registration and filing requirements for our regional entities and subsidiaries, including annual returns, and ensure compliance with applicable regulations. Assist regional teams in implementing and operationalising corporate governance proposals, assessing entity structure options and suitability. Work with external lawyers and our regional teams to ensure local activities comply with corporate requirements.
  • Intellectual Property: Advise our teams on use of our trademarks and copyrights, and branding generally. Work with external lawyers on trademark filings, renewals, evidence of use and oppositions to ensure IP rights are exercised. Work with external lawyers to ensure intellectual property licences are in place across organisational entities and subsidiaries.
  • General: Develop regulatory policies and associated procedures and provide relevant training. Represent the department on cross departmental groups and projects.

You Have:

  • Bachelor's degree in Law, or an equivalent legal qualification.
  • 3+ years' experience in commercial contracting, corporate governance, or intellectual property.
  • Drafting experience in a contract, governance or commercial context.
