Summary: The Legal Counsel role within the Legal and Governance team at the Foundation involves providing comprehensive legal support across various charitable partnerships and grants administration. The position requires drafting and negotiating agreements, advising on legal risks, and ensuring compliance with charity law. The role also includes developing internal policies and collaborating with cross-functional teams to enhance the Foundation's mission. This position is crucial for the team's development and the overall effectiveness of the Foundation's operations.

Key Responsibilities:

  • Structure and assist colleagues with drafting and negotiating agreements for charitable partnerships, including commercial contracts and grants.
  • Advise on the structuring, legal risks, and strategic implications of partnerships.
  • Maintain and file correspondence and documentation related to commercial contracts.
  • Advise on drafting and execution of grant agreements, including IP ownership and commercialisation.
  • Draft, maintain, and update internal guidelines, policies, and standard-form documents.
  • Consider legal considerations for working with partners, including advising on due diligence procedures.
  • Work with cross-functional stakeholders on collaboration opportunities and risks related to partnerships.
  • Assist teams with legal needs, including drafting and negotiating documents.
  • Work with the Legal Director & Company Secretary on governance matters and legal research.
  • Organise and run training sessions on legal and compliance issues for staff.
  • Supervise the team's paralegal on specific tasks.
