Summary: The Lead Counsel position focuses on overseeing legal strategies for M&A transactions, divestitures, and high-value contracts within the pharmaceutical industry. This role requires collaboration with cross-functional teams to ensure compliance and risk management while influencing strategic decisions. Key Responsibilities:
- Lead legal strategy for M&A transactions, divestitures, and high-value contracts, ensuring compliance and risk management.
- Provide expert legal guidance on deal structuring, contract drafting (APA, SAPA, SPA), and negotiation of manufacturing, tech-transfer, and transitional service agreements.
- Collaborate with cross-functional teams across Tax, Regulatory, IP, IT, and Corporate BD to facilitate seamless transaction execution.
- Oversee external legal counsel and manage contractual risks and disputes related to CMB partnerships.
- Contribute to global legal networks, sharing insights to enhance best practices across the industry.
Key Skills:
- Qualified lawyer (UK or EU jurisdiction) with 10+ years of experience, including 5+ years in the pharmaceutical industry.
- Deep expertise in M&A, contract law, and pharmaceutical regulatory frameworks, particularly in manufacturing and cGMP.
- Proven ability to manage complex, high-value transactions in a fast-paced environment.
- Strong communication and negotiation skills, with experience influencing senior stakeholders.
- Fluent in English (additional European languages are a plus).
