Key Responsibilities:
- Assisting with the review of share purchase agreements and asset purchase agreements, including transactions relating to MBOs, MBIs and funded share purchases
- Supporting the onboarding of new clients, including transaction coordination and management
- Advising on and amending standard security documentation to reflect client-specific circumstances
- Negotiating deeds of priority with third parties
- Providing advice to internal stakeholders on transaction structures and security arrangements
- Assisting with the creation and registration of property legal charges
- Reviewing and advising on commercial contracts across the business, including NDAs and contracts for services
- Assisting with legal queries relating to recoveries litigation, administrations and liquidations
- Liaising with external legal advisers and insolvency practitioners
Key Skills:
- Qualified solicitor with a minimum of 2 years’ PQE
- Background in banking and finance, ideally with some exposure to asset-based lending
- Comfortable operating in a fast-paced environment with broad legal exposure
- Proactive, curious and willing to use initiative to solve problems as they arise
- Interested in developing commercial, in-house legal experience within a specialist lender

Interim Legal Counsel - Six months - Banking/Finance - 2-5 years PQE
Overview
An opportunity has arisen for a solicitor to join the Legal and Compliance function of a fast-paced specialist asset-based lender on a six-month secondment. The secondee will work closely with senior stakeholders within the legal team, supporting day-to-day legal operations with a particular focus on invoice finance transactions. In addition to transactional support, the role offers exposure across the wider group legal function, including commercial contracts, data protection, employment, property, banking and finance, and corporate secretarial matters. This role would suit a solicitor looking to gain meaningful, hands-on in-house experience within a dynamic financial services environment.

- Assisting with the review of share purchase agreements and asset purchase agreements, including transactions relating to MBOs, MBIs and funded share purchases
- Supporting the onboarding of new clients, including transaction coordination and management

This opportunity offers hybrid working with just one day on site per week. The client is also open to considering someone who can work either 4 or 5 days per week.
