Summary: This role is for a Freelance Legal Counsel focused on providing legal support to a high-growth software development business in the DACH region for a duration of six months. The position involves working closely with senior legal personnel to manage contracts, compliance, and legal risks while advising various internal stakeholders. The ideal candidate will have a strong background in commercial law, particularly in technology contracts.
Key Responsibilities:
- Analysing, summarising, advising on, drafting and negotiating all kinds of contracts between customers and vendors, including software and SaaS agreements, order forms, novation agreements and variation agreements
- Assisting with the legal requirements of RFPs/Tenders
- Ensuring compliance with relevant laws and corporate policies
- Negotiating with outside parties on contractual issues
- Assisting in managing legal risks within the business
- Providing legal advice to a wide range of internal stakeholders, including account managers, sales and service delivery personnel
- Supporting contract renewals and variations
- Supporting with customer claims, disputes and collections
Key Skills:
- Qualified solicitor in Germany with at least one state exam or Austria with at least a Master’s degree in law
- At least 3 - 6 years post-qualification experience (PQE) as a Commercial Solicitor
- Experience of working in a commercial or generalist in-house role
- Experience in technology contracts (e.g. IT/SaaS/software), including negotiating IT/software/SaaS contracts with customers
- Experience in data processing agreements is desirable

As a Legal Counsel, you will work closely with the Senior Legal Counsel and Vice President of Legal to provide legal support and assistance across DACH (Germany, Austria and Switzerland) businesses.
