Summary: The Corporate Governance International Consultant Equity role focuses on providing project preparation and capacity building support for equity investment transactions, ensuring governance frameworks align with best practices. The consultant will conduct due diligence on risk control frameworks and provide assessments and action plans for identified risks. This position requires collaboration with the equity investment unit and deal teams to enhance corporate governance in portfolio companies. The assignment is for 220 days, based in Manila, Philippines, with potential for contract renewal.

Key Responsibilities:

  • Conduct due diligence on risk control frameworks and business risks for equity investments.
  • Provide corporate governance guidance and support to portfolio companies.
  • Work with deal teams on initial due diligence of prospective investment targets.
  • Develop mitigating strategies for identified risks and prepare action plans.
  • Assist in selecting and evaluating third-party specialists for risk management.
  • Report on impacts achieved against project frameworks.
  • Support annual review processes for corporate governance results.
  • Contribute to the development of reporting packs for portfolio companies.
  • Establish relationships with directors and senior managers in developing markets.
  • Perform other duties as assigned.

Key Skills:

  • Master's degree or equivalent in finance, accounting, business, or related fields.
  • International experience as CFO for a private equity investment portfolio.
  • Knowledge of risk assessment and control frameworks.
  • Experience in establishing internal control frameworks in investment companies.
  • Understanding of corporate governance standards and best practices.
  • Minimum 20 years of experience in private sector transactions.
  • Knowledge of regulatory environments in developing markets is advantageous.
  • Excellent English communication skills, both oral and written.
