A significant accounting transaction is one that the company should enter in its accounting records. They do not include filing fees, penalties for late filing, or money paid for shares when the company was incorporated.<\/p><p>To be considered dormant, your company cannot trade or receive income from other sources (such as investments). HMRC consider your company to be trading if you are:<\/p><ul><li>Carrying on a business activity such as a trade or professional activity;<\/li><li>Buying and selling goods to make a profit or surplus;<\/li><li>Providing services;<\/li><li>Earning interest;<\/li><li>Managing investments; or<\/li><li>Receiving any other income.<\/li><\/ul><p>As dormant companies are inactive, they are not liable for corporation tax.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-238607a elementor-widget elementor-widget-heading\" data-id=\"238607a\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Why Make A Company Dormant?<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-97ac4e6 elementor-widget elementor-widget-text-editor\" data-id=\"97ac4e6\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>There are many instances where it is beneficial for contractors to make their company dormant:<\/p><ul><li>If you have traditionally worked Outside IR35 but recently won an Inside IR35 contract and need to work through an umbrella company, you may wish to dormant your company.<\/li><li>If you want to take a break from contracting, such as an extended sabbatical for a year or more, you may wish to make your company dormant.<\/li><li>If the contracting market dips, and you decide to take a permanent role but want to return to contracting later, you may wish to make your company dormant.<\/li><\/ul><p>Making your limited company dormant means you can restart it again with minimal effort. It is far simpler than closing the business and incorporating a new company when you\u2019re ready to start again. Before you start, you will need:<\/p><ul><li>Your company\u2019s name;<\/li><li>Your 10-digit Unique Taxpayer Reference (UTR); and<\/li><li>The date your company stopped trading (if it began trading).<\/li><\/ul><p>Here\u2019s how to find your <a href=\"https:\/\/www.gov.uk\/find-utr-number\" rel=\"nofollow noopener\" target=\"_blank\">UTR number<\/a> if you do not know it.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d16c1a3 elementor-widget elementor-widget-heading\" data-id=\"d16c1a3\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">What Are My Resonsibilities?<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-87701c8 elementor-widget elementor-widget-text-editor\" data-id=\"87701c8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Your responsibilities as a limited company director do not stop if you make your limited company dormant. Luckily, they are very straightforward.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-015f04d elementor-widget elementor-widget-heading\" data-id=\"015f04d\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">i) VAT<\/h3>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-83820c4 elementor-widget elementor-widget-text-editor\" data-id=\"83820c4\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>If you have made your company dormant and do not intend to trade again, you must <a href=\"https:\/\/www.gov.uk\/register-for-vat\/cancel-your-registration\" rel=\"nofollow noopener\" target=\"_blank\">deregister for VAT<\/a> within 30 days of your company becoming dormant. If you want to trade again or are unsure about the business&#8217;s future, you do not need to deregister for VAT. Instead, you must file \u2018nil\u2019 (empty) returns while your company is dormant.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-74c3797 elementor-widget elementor-widget-heading\" data-id=\"74c3797\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">ii) PAYE<\/h3>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-981f25a elementor-widget elementor-widget-text-editor\" data-id=\"981f25a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Your\u00a0PAYE\u00a0scheme will continue to run despite your company being dormant.<\/p><p>If you don\u2019t intend to pay any salaries for three months or more, put \u2018Yes\u2019 in the \u2018Irregular payment pattern indicator\u2019 on the last Full Payment Submission (<a href=\"https:\/\/www.gov.uk\/running-payroll\/reporting-to-hmrc\" rel=\"nofollow noopener\" target=\"_blank\">FPS<\/a>) you submit. You must also submit an Employer Payment Summary (<a href=\"https:\/\/www.gov.uk\/running-payroll\/reporting-to-hmrc-eps\" rel=\"nofollow noopener\" target=\"_blank\">EPS<\/a>). Enter dates in the \u2018No payments due\u2019 fields for gaps in the current or last tax months. For gaps in the next 12 months, enter the relevant dates in the \u2018Period of inactivity\u2019 fields.<\/p><p>If you don\u2019t intend to start trading again or think you will keep your business dormant for over a year, you could <a href=\"https:\/\/www.gov.uk\/stop-employing-staff\" rel=\"nofollow noopener\" target=\"_blank\">close your PAYE<\/a> scheme. It is straightforward to reopen if required.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6efa331 elementor-widget elementor-widget-heading\" data-id=\"6efa331\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">iii) Corporation Tax<\/h3>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c2d5914 elementor-widget elementor-widget-text-editor\" data-id=\"c2d5914\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>If your company is dormant for the full financial year, you will not have any tax liabilities and will not have to prepare a Company Tax Return for HMRC. If your company became dormant (or restarted trading) partway through a financial year, you must pay tax on any income generated when the business was active.<\/p><p>Once you have notified HMRC that you are dormant for corporation tax purposes, a \u2018Notice to Deliver a Company Tax Return\u2019 will be sent to your registered office address. You will then be required to prepare a company tax return and accounts for HMRC, and pay corporation tax on any profits made up to the point your company becomes dormant.<\/p><p>After doing so, your company will be considered dormant, and you will no longer be required to prepare Company Tax Returns.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d4ae628 elementor-widget elementor-widget-heading\" data-id=\"d4ae628\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">iv) Company Accounts<\/h3>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cb886d3 elementor-widget elementor-widget-text-editor\" data-id=\"cb886d3\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>As a director, you must prepare accounts for Companies House every year, even if your company is dormant. Fortunately, dormant accounts are simpler than trading accounts.<\/p><p>Dormant company accounts submitted to Companies House do not need to include a profit and loss account or directors\u2019 report. They must still contain:<\/p><ul><li>A balance sheet containing statements above the director\u2019s signature and their printed name to the effect that \u2018the company was dormant throughout the accounting period\u2019;<\/li><li>Any previous year\u2019s figures for comparison &#8211; even though there are no items of income or expenditure for the current year; and<\/li><li>Certain notes to the balance sheet.<\/li><\/ul><p>Dormant company accounts can be filed <a href=\"https:\/\/www.gov.uk\/file-your-company-annual-accounts\" rel=\"nofollow noopener\" target=\"_blank\">online<\/a>, and the deadline is the same as trading accounts: nine months and one day after your financial year-end.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a2878ab elementor-widget elementor-widget-heading\" data-id=\"a2878ab\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">v) Confirmation Statement<\/h3>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9de16ec elementor-widget elementor-widget-text-editor\" data-id=\"9de16ec\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>All companies must prepare an annual confirmation statement at least every 12 months, even if they are dormant. The requirements for a confirmation statement, whether dormant or active, are the same.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f4f463c elementor-widget elementor-widget-heading\" data-id=\"f4f463c\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Withdrawing Money From Dormant Company<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d804f26 elementor-widget elementor-widget-text-editor\" data-id=\"d804f26\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Extracting money from your dormant company will trigger a clause in the Companies House rules and instantly make the company active again. If you wish to extract money from your limited company before making it dormant, you should:<\/p><ul><li>Maximise director\u2019s pension contributions;<\/li><li>Repay any outstanding loan balances\u2019 or<\/li><li>Pay a final dividend.<\/li><\/ul><p>You can, of course, leave money in the limited company.
